• Timely Feedback: You are responsible for providing feedback, approval, and any required content on time to ensure the smooth progress of the project.

• Content Ownership: You are responsible for ensuring that all content you provide (text, images, logos, etc.) does not infringe upon any copyright, trademark, or other intellectual property rights of third parties.

4. Payment Terms

• Fees: Fees for services will be outlined in the Service Agreement. All fees must be paid in full as per the terms specified.

• Payment Schedule: A payment schedule, including any deposits, milestones, and final payments, will be agreed upon before the start of the project.

• Late Payments: Late payments may result in delays or suspension of services. A late fee may apply if payment is not made within the agreed time frame.

5. Intellectual Property

• Ownership of Deliverables: Upon full payment, you will own the final designs, code, and other deliverables created for your project, excluding any third-party software, templates, or assets that are licensed separately.

• Licensing: Innovare Atelier retains the right to use any deliverables for promotional purposes, including portfolio displays, case studies, or advertising materials.

• Third-Party Content: If third-party content (such as stock images, fonts, or plugins) is used, you will be granted a license to use such content solely for the project.

6. Confidentiality

We respect your privacy and will keep all sensitive information shared during the course of the project confidential. We will not disclose any proprietary or confidential information without your consent, except as required by law.

7. Website Hosting and Maintenance

• Hosting: We may provide hosting services, but you are free to choose your hosting provider. If we manage your hosting, we are not responsible for any downtime or server issues caused by the host.

• Maintenance: Any post-launch maintenance, updates, or support will be billed separately unless included in the Service Agreement.

8. Project Timeline and Delays

While we strive to complete projects within the agreed-upon timeline, we are not responsible for delays caused by factors beyond our control, such as client delays in providing content or feedback. We will notify you of any changes to the timeline and provide updates as needed.

9. Limitation of Liability

Innovare Atelier will not be held liable for any indirect, incidental, or consequential damages resulting from the use of our services or the Site, including but not limited to loss of revenue, data, or business interruptions. Our liability for any claim is limited to the total amount paid by the client for the services that gave rise to the claim.

10. Termination

Either party may terminate the Service Agreement by providing written notice. In the event of termination, you will be billed for any work completed up to that point, and you will receive the final deliverables by the payment schedule.

11. Indemnity

You agree to indemnify and hold harmless Innovare Atelier, its officers, employees, and agents, from and against any claims, damages, liabilities, costs, or expenses arising out of your use of the Site, services, or any content you provide for the project.

12. Changes to Terms and Conditions

Innovare Atelier reserves the right to modify or update these Terms and Conditions at any time. Any changes will be effective immediately upon posting on this page. We encourage you to review these Terms periodically.

13. Governing Law
